Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website matthor.com and the services provided by Matthor LLC ("Matthor", "we", "us", or "our"). By accessing or using our services, you agree to be bound by these Terms.

Acceptance of Terms

By accessing our website or engaging our services, you confirm that you are at least 18 years old and have the legal authority to enter into these Terms. If you are using our services on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.

Description of Services

Matthor provides IT staffing and human resources recruitment services, including but not limited to:

  • IT Staff Augmentation, temporary placement of technology professionals
  • Direct Hire Recruitment, permanent placement services
  • Contract-to-Hire, trial-period employment arrangements
  • IT Consulting and Advisory services

Service specifics, fees, timelines, and obligations are defined in separate service agreements executed between Matthor and each client.

Client Obligations

As a client of Matthor, you agree to:

  • Provide accurate and complete information about your staffing needs
  • Maintain a safe and lawful work environment for placed candidates
  • Comply with all applicable employment laws and regulations
  • Pay all fees and invoices according to the agreed terms
  • Not directly solicit or hire Matthor candidates outside of the agreed process
  • Provide timely feedback on presented candidates

Candidate Obligations

If you are a candidate registered with Matthor, you agree to:

  • Provide accurate and truthful information in your profile, resume, and interviews
  • Notify Matthor promptly of any changes to your availability or contact information
  • Maintain confidentiality of proprietary client information
  • Comply with all workplace policies and applicable laws during assignments

Fees and Payment

Fees for our services are outlined in individual service agreements. Standard terms include:

  • Staff Augmentation: billed on an hourly or weekly basis
  • Direct Hire: a percentage of the candidate's first-year annual compensation
  • Contract-to-Hire: hourly billing during the contract phase, with a conversion fee upon permanent hire

Invoices are due within 30 days of issuance unless otherwise specified. Late payments may incur interest at 1.5% per month or the maximum rate permitted by law.

Replacement Guarantee

For direct hire placements, Matthor offers a 90-day replacement guarantee. If a placed candidate voluntarily leaves or is terminated for cause within 90 days of their start date, Matthor will conduct a replacement search at no additional fee. This guarantee is subject to the following conditions:

  • The client must notify Matthor within 5 business days of the candidate's departure
  • The original service agreement must be in good standing with all fees paid
  • The replacement guarantee does not apply to layoffs, restructuring, or changes in position requirements

Intellectual Property

All content on the Matthor website, including text, graphics, logos, images, and software, is the property of Matthor LLC and is protected by copyright and trademark laws. You may not reproduce, distribute, or create derivative works from our content without prior written consent.

Limitation of Liability

To the maximum extent permitted by law, Matthor shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising from:

  • Your use of our services or inability to use our services
  • Any conduct or content of any candidate or client
  • Any unauthorized access to or alteration of your data

Our total liability for any claim arising from these Terms or our services shall not exceed the fees paid by you to Matthor in the twelve (12) months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless Matthor LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your breach of these Terms or your use of our services.

Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of the business relationship. This includes candidate information, client requirements, pricing, and business strategies.

Non-Solicitation

During the term of any service agreement and for 12 months thereafter, clients agree not to directly recruit, solicit, or hire any Matthor employee or contractor who has been involved in providing services under the agreement, without Matthor's prior written consent.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of the State of Wyoming.

Modifications

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website. Your continued use of our services after any changes constitutes acceptance of the updated Terms.

Termination

Either party may terminate the service relationship with written notice as specified in the applicable service agreement. Sections regarding confidentiality, non-solicitation, limitation of liability, and indemnification survive termination.
